QUIZATHON: SHAREHOLDER EDITION, 2026

Terms and Conditions

Important notice. The Quizathon is a free, skill-based financial-literacy competition. It is not an offer, invitation or solicitation to buy or subscribe for shares in Dangote Petroleum Refinery & Petrochemicals FZE or any other company, and nothing on the Quizathon pages or in the course is investment advice. Any public offer of those shares is made only through the prospectus approved by the Securities and Exchange Commission, Nigeria. Entry is free; you will never be asked to pay or to buy shares to take part or to receive a prize.

1. The organisers

The Quizathon is organised by FlexiSAF Edusoft Limited (RC 1049465) through Distinction Labs, operator of distinction.app (“FlexiSAF”), in collaboration with the Aliko Dangote Foundation (“ADF”) (together, the “Organisers”). 3. Who can enter

To be eligible you must, on the Quizathon date:

  1. be a currently enrolled student of an accredited tertiary institution in Nigeria;
  1. be able to provide your institution name and registration/matriculation number, and a valid student ID or admission letter if asked;
  1. register with your own true details and hold only one account.

Employees of FlexiSAF and ADF, their immediate families, and anyone involved in setting or administering the questions are not eligible.

4. How to win

To qualify for a prize you must:

  1. complete the free Investment course on Distinction and obtain its certificate by the course deadline;
  1. take part in the Quizathon on the set date and time, using your own registered account; and
  1. rank among the top 2,000 eligible participants on the final, verified leaderboard.

This is a competition of skill. Winners are decided only by score, never by random draw. There is no entry fee and no purchase is required.

5. Scoring and ties

  • Each participant answers as many questions as he/she can within the allotted time, drawn from the same question bank and at the same difficulty.

  • Ranking is by total correct answers. Ties are broken first by shortest total completion time, then by earliest submission time.

  • Questions are based on the content of the Investment course. The Organisers’ answer key is final, save that any question found to be defective will be removed from scoring for all participants.

6. Fair play

You must take the Quizathon yourself, without help from another person and without using AI tools, search engines or other unauthorised aids. The following will lead to disqualification:

  • more than one account per person, or accounts using false or borrowed identities;

  • sharing questions or answers during the Quizathon;

  • using bots, scripts or tools to interfere with the platform;

  • impersonation, or someone else taking the quiz for you;

  • any attempt to manipulate scores or the leaderboard.

The platform records integrity signals (for example tab switching, copy-paste and unusual timings), as described in the Privacy Notice. Any flagged result is reviewed by a person before a decision is made, and you may be asked to explain it or to retake a short supervised verification quiz.

7. The prize

Each of the top 2,000 verified winners will receive 20 ordinary shares in Dangote Petroleum Refinery & Petrochemicals FZE, made up of 10 shares from FlexiSAF and 10 shares from ADF (the “Prize Shares”).

  1. Source of shares. The Prize Shares will be shares already acquired by FlexiSAF and ADF and transferred to winners as a gift. No new shares are issued to winners, and winners do not subscribe in any offer.
  1. Timing. Transfer can only happen after the shares are allotted to the Organisers, listed and admitted to trading on the Nigerian Exchange. The Organisers do not control the allotment or listing timetable.
  1. Allotment. If the Organisers’ own allotment is reduced or delayed, they may source the Prize Shares from the market after listing, or, if that is not possible, provide an alternative prize of comparable value, notified to winners in writing.
  1. Account required. To receive Prize Shares, winners must hold, or open through a licensed stockbroker, a CSCS account and CHN in their own name (or, for winners under 18, an account opened through a parent or guardian), and complete the stockbroker’s KYC. The Organisers will provide guidance but are not responsible for a stockbroker’s decision on your account.
  1. Additional data required. Winners will be required to provide or confirm their full name, NIN, BVN, matriculation number and any additional information or documentation required by Vetiva to verify their identity and process the purchase and allocation of their prize shares. These details will be shared securely with Vetiva solely for verification and prize fulfilment.
  1. No cash alternative. Prize Shares are not exchangeable for cash and are not transferable to another person before transfer.
  1. Value and risk. The value of shares can go down as well as up. The Organisers make no promise about the price, dividends or future performance of the shares. Any costs a winner chooses to incur after receiving the shares (e.g. brokerage on a later sale) are the winner’s own.
  1. Tax. Winners are responsible for any tax that may arise on receiving or later selling the shares.
  1. Regulatory conditions. The prize is subject to any approval, condition or direction of the SEC, the Nigerian Exchange, the Central Securities Clearing System or other competent authority. If an authority prevents the transfer, the alternative-prize provision in (c) applies.

8. Verification and results

Provisional results will be published on 25 October, 2026. Before final confirmation, the Organisers may verify each provisional winner’s identity and student status with their institution, including through COMDICT-NTI. A provisional winner who cannot be verified, or who does not respond within 7 days of a verification request, may be replaced by the next-ranked eligible participant.

You may raise a query about your result by emailing info@distinction.app during the challenge window. The Organisers will review each query and give a reasoned reply. After the window closes, the final verified leaderboard is binding.

9. Free course and no investment advice

The Investment course is educational. It explains general concepts such as saving, risk, diversification and how capital markets work. It does not recommend any particular investment, including Dangote Refinery shares, and does not take your personal circumstances into account. Before making any investment decision, read the official prospectus and consider speaking with an SEC-registered adviser or stockbroker.

10. Communications and scam warning

Official Quizathon messages come only from info@distinction.app and ipo@alikodangotefoundation.org email addresses, the official social media accounts listed on the Quizathon page. The Organisers will never ask you to pay a fee, send money, share passwords or PINs, or buy shares to enter or claim a prize. Report suspicious messages to info@distinction.app.

11. Platform availability

The Organisers will take reasonable steps to keep the platform available. If a technical failure on the platform materially affects the Quizathon, the Organisers may extend the time, reschedule the affected session, or void affected results and arrange a re-sit, and will announce the decision publicly. The Organisers are not responsible for problems with your own device, power or internet connection.

12. Liability

To the extent permitted by Nigerian law, the Organisers are not liable for indirect or consequential loss arising from the Quizathon. Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for any liability that cannot be limited under the Federal Competition and Consumer Protection Act 2018 or other law.

13. Publicity

Winners’ lists will show only first name, last initial, institution and rank. Any further publicity (photos, videos, interviews) is optional and requires your consent, and your parent or guardian’s consent if you are under 18.

14. Changes, suspension and cancellation

The Organisers may amend these Terms, or suspend or cancel the Quizathon, if required by law, by a regulator, or by circumstances beyond their reasonable control. Changes will not reduce the prize for verified winners except as provided in section 7. Material changes will be announced on the Quizathon page and by email.

15. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve any dispute amicably. Disputes not resolved within 30 days may be referred to the courts of the Federal Capital Territory, Abuja.
